In short

Envision Legal drafts, reviews and negotiates the agreements behind blockchain projects at a fixed fee agreed upfront. We focus on development scope, IP ownership, infrastructure dependencies and the legal terms surrounding automated execution. Legal review does not replace a code audit.

Code executes. Contracts allocate responsibility.

A blockchain application can perform exactly as coded and still produce an outcome the parties did not intend. Written agreements should explain the commercial deal, identify the responsible parties and address failures that cannot be resolved simply by changing a transaction record.

Blockchain contracts we help with

Development agreements

Statements of work, milestones, acceptance testing, change control and handover. We address which network and integrations are supported, who pays transaction and deployment costs, and what maintenance is included after delivery.

Smart-contract legal terms

Written terms surrounding automated performance: authority to deploy or upgrade, pause controls, reliance on external data, errors and the relationship between code and the written agreement. The contract should say how an inconsistency is handled, rather than assuming that code always overrides the parties' rights.

IP and open-source dependencies

Assignments, licences and permissions for code, interfaces and documentation. We distinguish new deliverables from a developer's existing tools and third-party code, so the business understands what it can modify, license and commercialise.

Infrastructure and integration agreements

Node services, APIs, oracle providers and enterprise integrations. We review service commitments, security responsibilities, access controls, incident notification, liability and exit arrangements for dependencies the project does not control.

Commercial blockchain deployments

Supply-chain, provenance and data-sharing arrangements need ordinary commercial protections as well as technical specifications. Agreements should address participation rules, data quality, confidentiality, reliance on records and responsibility for inaccurate inputs.

A solicitor's review is not a vulnerability assessment. Technical specialists should assess code, access controls and security. We can then review whether the legal agreements reflect the audit scope, remediation responsibilities and remaining risks.

Privacy also belongs in the design discussion. Public visibility and immutability can complicate arrangements involving personal information. See our privacy and data protection legal service for advice on the proposed data flows.

What we need to scope the work

  • A plain-English description of the application and intended users.
  • The development scope, architecture and third-party dependencies.
  • Draft agreements, IP arrangements and any technical audit findings.
  • Who controls deployment, upgrades and administrative keys—without sharing the keys themselves.
  • The commercial deadline and documents you need drafted or reviewed.

We agree deliverables and a fixed fee before starting. Token issuance, financial services or custody features require a separate assessment of the business model; see our crypto business legal service. We do not provide litigation, asset recovery or technical audits.

Frequently asked questions

Is a smart contract the same as a legal contract?

Not necessarily. Executable code can implement part of an agreement, but enforceability depends on the surrounding facts and applicable law. Written terms should address the parties, rights, governing law and what happens when execution differs from the intended deal.

Does a lawyer's review replace a smart-contract security audit?

No. Legal review addresses rights, obligations and allocation of risk. A technical auditor assesses code and security. A blockchain project may need both, with the legal documents reflecting the audit scope and remaining technical risks.

Who owns code written by a blockchain contractor?

Do not assume payment alone gives your business all rights. The agreement should address assignment or licensing, pre-existing code, open-source dependencies, documentation and rights to modify and commercialise the deliverables.

Can personal information be stored on a blockchain?

The answer depends on the data, architecture and applicable privacy obligations. Immutability and public visibility can complicate correction, access and security arrangements. Consider whether personal information should remain off-chain and obtain advice on the proposed design.

Can you provide fixed-fee blockchain contract review?

Yes. Envision Legal scopes drafting, review and negotiation at a fixed fee agreed upfront. This is commercial legal work, not code auditing, litigation or a promise that a token or platform is compliant.
