In short

Envision Legal helps Web3 founders put the commercial arrangements behind their projects in writing: who owns the IP, who can make decisions, what users receive and who carries the risk. Scope and fixed fee are agreed upfront.

Your project is decentralised. Your obligations may not be.

A wallet address, governance vote or token allocation does not explain who has authority to sign a supplier agreement or who owns the code. We help founders turn their operating model into clear agreements before contributors join, customers pay or the project launches.

Web3 contracts and advice

Founders, contributors and governance

Founder and shareholder agreements, contributor engagements, confidentiality, IP assignments and written governance arrangements. We look at decision-making authority, treasury controls, departures and the relationship between any legal entity and the wider community.

DAOs and commercial counterparties

A supplier needs to know who its customer is. A contributor needs to know who will pay them. We help identify the contracting party and document approvals, delegated authority and responsibility for commitments. A DAO structure should not be treated as an automatic shield from personal liability.

NFT licences and digital content

Minting terms, creator agreements and licences covering commercial use, modifications, branding and resale. The documents should distinguish token ownership from copyright and describe what happens to licensed rights when the token changes hands.

Platform and community terms

User terms, acceptable use rules, paid memberships and promotional arrangements. We review what the business promises about access, utility, benefits and refunds, rather than relying on a broad disclaimer to carry every risk.

Development and infrastructure

Build agreements, integration contracts and vendor terms covering deliverables, acceptance, maintenance and IP. See our blockchain contract services for smart-contract execution and infrastructure risks.

If a project issues tokens, offers returns or controls user assets, its regulatory position needs review alongside its contracts. Marketing labels such as “utility”, “decentralised” or “community-owned” do not determine legal treatment. Our crypto business legal service explains the questions to bring to that review.

What to send us

  • A short explanation of the product and who will use it.
  • The proposed entity, founder roles and governance arrangements.
  • Any token rights, NFT licence, white paper or public promises.
  • Your existing agreements and the decision or launch milestone you are working towards.

We confirm whether we can assist, agree a fixed-fee scope and identify any specialist work needed outside that scope. We do not provide litigation, investment recommendations or technical security audits.

Frequently asked questions

What does a Web3 lawyer help with?

Commercial arrangements behind a Web3 business: founder and contributor agreements, platform terms, intellectual property, development contracts and token-related documents. The legal scope depends on how the project operates, not simply its Web3 label.

Can a DAO operate without a legal entity?

A DAO label does not settle legal personality, member liability or who can enter contracts. Before taking funds or engaging contributors, identify the contracting party, decision-making authority and responsibility for obligations. The appropriate structure requires advice on the actual project.

Does an NFT automatically transfer copyright?

No. Ownership of a token does not by itself transfer copyright in the associated artwork or content. The licence or assignment must describe the rights granted, restrictions and whether those rights pass to a later token holder.

Do you offer fixed-fee Web3 legal work?

Yes. Envision Legal agrees the scope and fixed fee before work starts. Send a description of your project and the agreements you need reviewed. Services are commercial advice and contracts, not litigation or investment recommendations.

Two ways to start

Get a fixed fee before any work starts.

Answer a few short questions, attach your documents if you have them, and a senior lawyer replies with the scope and the price.
