Is a verbal NDA enforceable?
It can be, but proving its terms is difficult. A written NDA that identifies the information, the permitted use and the duration is far easier to rely on.
How long should an NDA last?
It depends on the information. Many agreements run for a fixed number of years, with trade secrets protected for as long as they remain confidential. The right period is a commercial decision we can help with.
Should my NDA be one-way or mutual?
Use a one-way NDA when only one party is disclosing information. Use a mutual NDA when both will share confidential material, which is common in joint ventures and due diligence.
What should a supply agreement cover?
At a minimum: product specification, price, delivery, risk and title, payment, warranties, exclusivity, minimum volumes and termination.
Can you review an NDA I have been sent?
