In short

Send us the contract and a few lines about the deal. We quote a fixed fee within one business day, then review it against Australian law, redline the risky terms and explain what each change does. Contracts only, no litigation.

Most commercial risk is agreed on signing, not discovered in a dispute. A review before you sign is the cheapest point at which to fix it.

What a contract review covers

  • Payment and price — when you are paid, set-off rights, price changes and late-payment terms.
  • Liability and indemnities — caps, exclusions of consequential loss, and one-way indemnities. See indemnity clauses.
  • Intellectual property — who owns what is created, and what licence survives termination.
  • Termination and renewal — notice periods, auto-renewals and exit costs.
  • Restraints and exclusivity — whether the scope is reasonable and likely to be enforceable.
  • Unfair contract terms — standard-form contracts with small businesses and consumers. See unfair contract terms.
  • Governing law and disputes — jurisdiction, and whether the dispute clause helps or hurts you.

How it works

  1. Send the contract with a short note on the deal, the other party and your deadline.
  2. We quote a fixed fee within one business day. No hourly billing.
  3. We review and redline, with a plain-English summary ranking issues by importance.
  4. You decide whether to sign, push back or walk away. We can send the mark-up to the other side if you want us to.

Contracts we review most often

Services and consulting agreements, supply and distribution agreements, software and SaaS terms, licences, contractor and employment agreements, leases and shareholder agreements. Documents written with an AI tool are reviewed the same way — see AI-generated contracts.

Frequently asked questions

How much does a contract review cost?

We quote a fixed fee after seeing the contract, so you know the cost before we start. The fee depends on the length and complexity of the document and how quickly you need it.

How long does a contract review take?

Most reviews are returned within two to three business days after we quote and you accept. We can work to an earlier deadline where the deal needs it.

Can you negotiate the changes with the other side?

Yes. We can send our mark-up to the other party or their lawyer and negotiate the terms for you, or hand you the redline so you can take it forward yourself.

Is the other side's standard contract negotiable?

Often more than people expect. Even where a business says its terms are standard, unusually one-sided clauses such as liability, indemnity and termination are commonly adjusted when raised clearly.

Do you review contracts if I am not in Sydney?

Yes. We act for businesses across Australia and work by email and video call, with advice based on the law that governs your contract.

Do you handle contract disputes?

No. We focus on drafting, reviewing and negotiating contracts so problems are addressed before signing. We do not act in litigation.
