Promissory Estoppel Australia

A business assurance can have legal consequences even without a signed variation. Promissory estoppel is fact-sensitive: a disappointed expectation or vague assurance is not enough.

What is promissory estoppel?

Promissory estoppel is an equitable doctrine relevant when a party induces an assumption about a legal relationship and another acts on it to their detriment. It can prevent an unconscionable departure from the induced assumption. A written contract remains important, but it is not the only evidence of the parties’ dealings.

What needs to be established?

The analysis looks at the assumption or assurance, how it was induced, actual reliance, the detriment that departure would cause and whether departure would be unconscionable. The elements and available relief depend on the form of estoppel and the facts. It is not enough to identify a promise and say it was broken.

In Sidhu v Van Dyke [2014] HCA 19, the High Court considered assurances, reliance and detriment in a property setting. It illustrates the importance of evidence of what the recipient actually did because of the assurance.

Why vague commercial assurances are risky

In Crown Melbourne v Cosmopolitan Hotel [2016] HCA 26, the statement that tenants would be “looked after at renewal time” did not establish the claimed entitlement to a further lease. Commercial optimism should not be mistaken for a sufficiently clear commitment.

Examples in everyday contract management

A customer asks a supplier to invest in extra capacity after discussing a renewal. A landlord discusses a new term before a tenant pays for a fitout. A supplier repeatedly accepts payment outside the written timetable. Each example raises questions about what was said, by whom, what was understood and what action followed. None automatically establishes estoppel.

Keep contemporaneous emails, meeting notes and records of expenditure. Identify whether the speaker had authority: see our agency and authority guide. An internal approval limit is not necessarily clear to the other party.

Estoppel, variation and waiver are different

A contractual variation changes the agreement when the legal requirements are met. Waiver concerns relinquishing or not insisting on a right. Estoppel focuses on induced assumptions, reliance and unconscionable departure. A no-oral-variation, entire-agreement or no-waiver clause is relevant, but should not be treated as blanket protection against the effect of subsequent conduct.

What remedy follows?

Relief is directed to addressing the relevant unconscionability and detriment; it is not automatically the precise performance originally hoped for. Remedy, proportionality and proof need careful analysis. This guide does not assess whether a particular claim would succeed.

Reduce uncertainty before a promise becomes a problem

  1. Record whether negotiations are conditional on approval and execution.
  2. Name the people authorised to agree changes.
  3. Put agreed concessions and their duration in writing.
  4. Confirm any one-off accommodation without assuming a reservation of rights cures every issue.
  5. Review correspondence before withdrawing a commitment that has induced significant expenditure.

Frequently asked questions

Does promissory estoppel require a signed contract?

Not necessarily. Equitable estoppel can concern assurances and conduct outside a signed document. The precise doctrine, induced assumption, reliance, detriment and unconscionability need to be assessed.

Is every business promise enforceable?

No. Vague assurances or disappointed expectations are insufficient on their own. Evidence of the assurance, the assumption it induced and the recipient’s reliance and detriment is important.

Does a no-waiver clause eliminate estoppel?

No. It is relevant to the contractual context but is not an automatic answer to the legal effects of subsequent assurances or conduct.
