The Deal That Almost Didn’t Happen

A client came to us three weeks from settlement on a business sale. The buyer’s due diligence had uncovered an undisclosed liability—a supplier dispute that the seller had forgotten about. The deal was in jeopardy.

We negotiated an escrow arrangement that satisfied the buyer’s concerns without blowing up the deal. Settlement happened on time. Everyone went home happy. But it took three weeks of intense negotiation that could have been avoided with better preparation upfront.

The Co-Founder Split

Two founders. Five years in business. No shareholders’ agreement. One wanted to exit. The other didn’t want to buy them out at the price they were asking. Without an agreed valuation mechanism, they were headed for litigation.

The Trademark That Wasn’t

Lesson: common law trademark rights exist, but they’re hard to prove and expensive to enforce. Register your trademark. It’s not optional.
